1. Acceptance of terms

By creating an account or using Hayaa Whats ("the Service"), you agree to these Terms & Conditions. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

2. Definitions

"Workspace" means your account environment. "Contacts" means the end-user data you upload or collect. "WhatsApp" refers to services provided by Meta Platforms, Inc. through the WhatsApp Business Platform.

3. Account & eligibility

You must be at least 18 years old and provide accurate registration information. You are responsible for safeguarding your credentials and for all activity under your account.

4. Acceptable use & WhatsApp/Meta compliance

You agree to comply with the WhatsApp Business Messaging Policy and Meta’s Commerce and Business policies at all times. In particular, you may only message contacts who have given prior opt-in consent, and you must honor opt-out requests promptly.

You must not send spam, deceptive, unlawful, or prohibited content, and you must use the correct template category (marketing, utility, or authentication). Violations may result in number quality downgrades or suspension by Meta, for which we are not liable.

5. Service availability

We strive to keep the Service available and reliable but do not guarantee uninterrupted operation. We may perform maintenance and will make reasonable efforts to minimize disruption.

6. Billing, trials, renewals & refunds

New workspaces receive a 14-day free trial. Paid plans are billed monthly or annually in advance and renew automatically until cancelled. You may cancel at any time; your plan remains active until the end of the current billing period.

Plan changes are prorated. We offer a 14-day money-back guarantee on a new paid subscription if you are not satisfied. Refunds are not provided for partial periods after that window or for WhatsApp message fees already incurred.

7. WhatsApp message fees (pass-through)

Your subscription covers the software platform only. WhatsApp conversation and message fees are determined by Meta and depend on the recipient’s country and message category. These fees are separate from and additional to your plan.

8. Intellectual property

The Service, including its software, design and trademarks, is owned by Hayaa Whats and its licensors. You retain ownership of your content and contact data. You grant us a limited license to process it solely to provide the Service.

9. Data processing & privacy

We process personal data in accordance with our Privacy Policy. With respect to your contacts’ data, you are the controller and we act as your processor. You are responsible for having a lawful basis to upload and message that data.

10. Suspension & termination

We may suspend or terminate accounts that violate these Terms, abuse the Service, or pose a risk to the platform or to Meta compliance. Upon termination, your data may be retained for a limited period and then deleted.

11. Limitation of liability

To the maximum extent permitted by law, the Service is provided "as is", and our total liability for any claim is limited to the amounts you paid us in the twelve months preceding the claim. We are not liable for indirect or consequential damages.

12. Governing law

These Terms are governed by the laws of the Kingdom of Bahrain, and any disputes are subject to the exclusive jurisdiction of the courts of Bahrain.

13. Changes to terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email, and continued use after changes take effect constitutes acceptance.
